Terms of Service: Our Agreement With You

These Terms of Service explain what you can expect from Manchester Scale-Up Solutions and what we expect from you. We've tried to keep it plain and simple, without all the usual legal mumbo jumbo. It's about being fair and making sure everyone knows where they stand so we can focus on growing your IT startup.

About These Terms

This page explains the rules for using our services at Manchester Scale-Up Solutions. When you hire us for help with your IT startup, you're agreeing to these terms. If you don't agree, then working together might not be the right fit. What We Do For You (Our Services)

We provide full-cycle consulting services to help IT startups grow. This includes strategy, hands-on support, and practical advice on things like funding, sales, and team building. The exact services we provide to your business will be agreed upon separately, usually in a clear proposal or statement of work. We'll always do our best to deliver what we promise, helping you get solid results for your business.

What We Expect From You (Your Responsibilities)

To get the most out of working with us, we'll need a few things from your side. This means providing us with accurate information about your business, being open and honest, and giving us access to your team and necessary data when needed. It also means paying our fees on time, as agreed. If you hold up the work or don't provide what we need, it might affect our ability to help you grow your business effectively.

How We Get Paid (Fees and Payment)

Our fees will be clearly laid out in our proposals or agreements before any work starts. We'll tell you how much, when, and how to pay. Payments are usually due within 14 to 30 days of the invoice date, depending on what we agree for your specific project. If payments are late, we might need to pause work until things are sorted. All prices are in Pounds Sterling (£) and will be clear about whether VAT is included or needs to be added.

Keeping Things Private (Confidentiality)

We know your business information is sensitive. Both you and we agree to keep all confidential information secret. This includes business plans, strategies, financial data, and anything else that's not generally known. We won't share your secrets with anyone else unless you give us permission, or if the law says we have to. This agreement on confidentiality lasts even after our work together finishes, because that's only fair.

Who Owns What (Intellectual Property)

Any new plans, strategies, reports, or materials we create specifically for your business as part of our services will be owned by you once we've been paid in full for that work. We keep the rights to our general tools, methods, and know-how that we bring to the table. You agree not to copy or misuse our stuff, and we won't copy or misuse yours. It's about respecting each other's hard work.

What Happens if Something Goes Wrong (Limitation of Liability)

We'll always work hard to do a great job for your IT startup. However, we can't promise specific outcomes or guarantee growth numbers directly. Our liability to you for any problems arising from our services is limited to the fees you've paid us in the last 12 months. We're not responsible for any indirect losses, like lost profits, unless it's something we've been grossly negligent about or acted fraudulently. This doesn't affect your statutory rights.

Ending Our Work Together (Termination)

Either of us can end our agreement by giving 30 days' written notice, or as agreed in our specific service contract. If either party breaks these terms badly, the other party might be able to end the agreement straight away. If we part ways, you'll need to pay for any work we've done up to the termination date. We aim for straightforward relationships, so we hope this won't be needed often.

The Law That Applies (Governing Law)

These terms and any disagreements that come from them are governed by English law. If there's a dispute, we both agree that the courts in England and Wales will be the place to sort it out. We'd much rather try to sort things out amicably first, though. We believe in talking things through before it gets complicated.

Changes to These Terms

We might need to update these terms from time to time. If we make any big changes, we'll let you know by putting a notice on our website. The date at the top of this page will always show when they were last updated. It's a good idea to check back now and then to make sure you're still happy with everything, just in case.
